ESTABLISHMENT OF AN NGO

Not all entrepreneurs are seeking profit, which is why some choose to set up an NGO. The procedure for setting up an NGO is quite complicated and you will need the expertise of a lawyer.

WHAT ARE THE STEPS TO BE FOLLOWED IN THE ESTABLISHMENT PROCEDURE?

NAME RESERVATION

The procedure for setting up an NGO starts with the reservation of a name. The reservation of the name will be made at the Ministry of Justice. Our advice is to have at least 5 name variants ready for your NGO. The entire procedure for reservation of the name lasts 4/5 days from the submission of documents to the Ministry of Justice.

CHOOSING THE PURPOSE AND OBJECTIVES OF THE NGO

We advise you to outline the goals and objectives of the NGO with the help of a lawyer. This way you will not waste valuable time later in the case, in which you will be postponed by court case.

DRAFTING THE DOCUMENTS

A great deal of weight in the procedure of setting up an NGO is played by drafting the necessary documents. We recommend that you choose the services of a lawyer in drafting documents.

WHAT ARE THE DOCUMENTS REQUIRED FOR THE NGO ESTABLISHMENT PROCEDURE?

  1. Application for registration with the competent court.
  2. The identity cards of the founders in copy.
  3. Reservation of the original name issued by the Ministry of Justice.
  4. NGO articles of incorporation.
  5. The incorporation document of the NGO.
  6. The tax records of the founders. These are issued by the competent Financial Administrations.
  7. Judicial stamps issued by CEC agencies for the registration of the application in court.
  8. The convenience contract that will prove the right of use for the NGO headquarters.
  9. The ownership title of the space that will be used to establish the headquarters of the NGO.

SUBMISSION OF THE FILE TO THE COMPETENT COURT

The last stage in the NGO establishment procedure is registering the file with at the competent court. After submitting the file to the competent court you will receive a court term. Within the court term the court may admit or reject your request.

IMPORTANT ASPECTS OF REGISTERING AN NGO

a) A minimum of 3 founders will be required to complete the NGO establishment procedure.

b) The share capital of an NGO is at least 200 lei.

c) Reservation of the NGO name will be made at the Ministry of Justice. The fees for booking the name are worth 38 lei. The term of validity of the name is 3 months.

d) A stamp duty of 100 lei will be paid to any CEC agency. This fee can be paid by you or the lawyer who represents you.

e) The status of the file can be checked on the website portaljust.ro. We recommend that your lawyer presents himself / herself at the trial. Within this term, additions to the file may be made if necessary.

f) If the application is admitted you will be able to issue a court decision pronounced in the public hearing. Your NGO being registered in the Register of Associations and Foundations. ONG-ul dumneavoastra fiind inscris in Registrul Asociatiilor si Fundatiilor.

g) The CIF (certificate o fiscal registration) will be obtained from the competent Financial Administration following the submission of documents for this purpose.

What documents do we need?

a) The identity cards of the founders in copy.

b) If the headquarters will be within a block of apartments - the title of the property of the building: contract of sale - purchase, contract of donation. If you choose to have the headquarters at the law firm, you will no longer need these documents.

d) The tax records of the founders. These are issued by the competent Financial Administrations.

e) A list with 5 name variants.
